Charter
I. General provisions
1.1 The National Association of Local Self-Governments of Georgia (hereinafter “Association”) is a non-entrepreneurial (non-commercial) legal entity. The association unites local self-government units of Georgia.
1.2 The organizational-legal form of the association is a non-entrepreneurial (non-commercial) legal entity.
1.3 The association carries out its activities in accordance with the Constitution of Georgia, the legislation of Georgia and this charter.
1.4 The association is guided in its activities by the principles of gender, ethnic, racial, faith and social equality.
1.5 Members participate in the work of the association on an equal basis. Common problems are seen, worked on and resolved collegially, openly and publicly.
1.6 The association has its own bank account, seal, emblem and other symbols. The association cooperates with organizations of Georgia and other countries on the basis of equality.
1.7 The activity of the association extends to the entire territory of Georgia.
1.8 The full name of the association is: in Georgian – “National Association of Local Authorities of Georgia”, in English – National Association of Local Authorities of Georgia .
1.9 The legal address of the association is: Georgia, st. Tbilisi 0159, Beliashvili st. 142, room 415.
II. Goals and objectives of the association
2.1 coordination of the development of local self-government and promotion of the effective implementation of the rights defined by the legislation of Georgia by local self-government bodies;
2.2 identification of problems of local self-government bodies; Interconnection of local self-government bodies. generalization and implementation of existing practical experience and achievements;
2.3 cooperation with international and non-governmental organizations interested in local self-government issues, local self-government associations operating in Georgia and other countries; promotion of international relations of self-government bodies;
2.4 support for the creation of a system of training and qualification raising of local self-government personnel; organization of training for members and officials of the representative body of local self-government; Providing methodical and consulting assistance to local self-government bodies. sharing experiences and establishing norms of professional ethics; preparation, publication and distribution of methodological, scientific-research and recommendation materials;
2.5 Promotion of active participation of local communities in the process of local self-government development, dialogue between local public organizations, citizens, local self-government and state government bodies, representation of self-governing units in relations with state government bodies, protection of rights and legal interests of self-governing units.
2.6 Support the provision of human rights protection at the local level as an ongoing process and promote a human rights-based approach to policy and program development.
2.7 Promotion of planning and effective implementation of gender equality and women’s empowerment policies at the local level, in accordance with international and national obligations.
III. Association rights
Based on its goals and objectives, the association has the right to:
3.1 to create regional offices of the association apparatus.
3.2 In accordance with the current legislation, to create a local self-government development fund.
3.3 to create educational and scientific-research institutions.
3.4 to conduct and participate in symposia, conferences, seminars and other scientific events.
3.5 to have printing bodies, to engage in publishing activities.
3.6 to organize meetings with citizens, as well as with representatives of state authorities.
3.7 to establish connections with public organizations, both in Georgia and abroad.
3.8. In accordance with the current legislation of Georgia, participate in the establishment of enterprises of various organizational and legal forms.
IV. Association members and their rights – duties
4.1 The members of the association are the founders and the members who joined the association after the registration of the association, who decide to become members of the association, observe the association’s charter and pay the membership fee.
4.2. The member participates in the activity directly or through his authorized representative.
4.3 The executive director of the association registers the application for admission as a new member.
4.4 The association member has the right to:
a) choose and be elected to the governing bodies of the association;
b) to enjoy the right of one vote at the National Assembly and within the scope of the competence granted to him by the Association;
c) apply to the governing bodies of the association to freely express his opinion on any issue related to the association’s activities.
d) to receive information about the activities of the association smoothly;
e) to participate in the activities of the central and regional offices of the association apparatus, scientific-research institutions and foundations;
f) to leave the association freely based on a written statement.
4.5 The association member is obliged to:
a) to comply with the requirements of the charter;
b) to pay the membership fee within the period and in the amount determined by the governing bodies of the association;
c) to participate in the activities of the association, to facilitate the implementation of the decisions of the governing bodies of the association;
d) to provide the association bodies with the information necessary for their activities;
e) to take care of the honor and property of the association.
4.6 Members of the association are not responsible for the obligations of the association.
4.7 The association is not responsible for the obligations of the members of the association.
4.8 Membership of the association is terminated by the national assembly of the association, if the member of the association no longer shares the goals and objectives of the association and/or does not participate in the activities of the association.
4.9 Other rights and duties of the members of the association are determined in accordance with this charter, by the cooperation agreement between the association and the member of the association. The typical form of the cooperation agreement is approved by the association’s executive board.
V. Heading bodies and apparatus of the association
5.1 National Assembly
5.1.1. The highest body of the association is the National Assembly, which is convened once in four years by the Executive Council. An extraordinary assembly can be convened based on a written statement of the executive board of the association and/or 1/3 of the association’s members.
5.1.2. Members of the association participate in the national assembly of the association in accordance with the rules established by the statutes and regulations or through an authorized representative.
5.1.3. National Assembly:
a) approves the association’s charter, makes changes and additions to it;
b) elects the president of the association and the members of the executive board;
c) elects the members of the audit commission of the association;
d) hears and approves the report of the Executive Council on the activities performed;
e) approves the audit commission reports;
f) Approves the action programs of the association and makes decisions on other issues related to the activities of the association provided for by this charter and the internal documents of the association.
g) admits a new member to the association.
h) accepts the member’s written statement about withdrawing from the membership of the association.
i) makes a decision on termination of membership of the association.
5.1.4. The National Assembly is entitled to begin work if more than half of the members (delegates) are present.
5.1.5. At the National Assembly, the decision is made by a simple majority of the votes of those present. In case of an even split of votes, the president of the association has the right to vote.
5.1.6. At the national assembly of the association, the decision to make changes and additions to the association’s charter is made by 2/3 of the votes of those present;
5.1.7 Decisions are made by 3/4 of the list of members at the National Assembly:
a) on the liquidation or reorganization of the association;
b) about changing the goals of the association;
5.1.8 The procedure for convening the National Assembly, determining the agenda of the Assembly, discussing issues and making decisions is determined in accordance with this statute, by the regulations of the National Assembly.
5.2. Executive Council.
5.2.1. In the period between national assemblies, the governing body of the association is the executive council, which consists of the president of the association and the members of the executive council elected at the national assembly.
5.2.2. Meetings of the Executive Council shall be convened at least once a year. An extraordinary meeting will be convened at the initiative of the president of the association or 1/3 of the members of the executive board. The president of the association calls the meetings of the executive board and determines the agenda of the meeting. The session is authorized if at least half of the list of members of the Executive Council participates in it. Decisions are made by a simple majority of the votes of the members present, unless otherwise stipulated in the present statute. The decisions of the executive board are signed by the president of the association.
5.2.3 The member of the Executive Council participates in the meetings of the Executive Council in person or by using the online meeting platform defined by the regulations of the Executive Council.
5.2.4 Executive Council of the Association:
a) reviews and approves the structure of the association apparatus;
b) approves the internal documents regulating the activity of the association, the regulations of the deliberative bodies of the association, the standard agreement on cooperation between the association and the members of the association;
c) approves the amount of the membership fee and the method of payment;
d) selects no more than four vice-presidents from among the members of the Executive Council;
e) appoints and dismisses the executive director of the association;
f) approves the work plans of the association, the projects to be implemented by the association;
g) establishes regional offices of the association apparatus, approves their operating regulations, structure and staff list;
h) represents the Council of Europe in the Congress and other international organizations; members of the Georgian delegation;
i) creates educational, scientific, publishing institutions and enterprises of the association; Approves their leaders, operating regulations, structure and staff list.
j) listens to the reports of the chairmen of the association’s commissions, the executive director, heads of educational, scientific, publishing institutions and enterprises about the activities performed;
k) makes a decision on disposal of the property owned by the association. approves agreements and memoranda on cooperation with partner organizations on behalf of the association;
m) creates working groups, committees, approves their chairpersons and the composition of committees/working groups, their action regulations and work plans; reviews and accepts other internal documents regulating the activity of association bodies;
n) discusses and makes decisions regarding the activities of the association on issues that do not belong to the special competence of the National Assembly.
5.2.5. The procedure for the activities and meetings of the Executive Council of the Association is determined by the present charter and the regulations of the Executive Council of the Association, which are approved by the Executive Council.
5.3. President of the association
5.3.1. The president of the association is elected by the national assembly of the association for a term of 4 years by a simple majority of votes.
5.3.2. President of the Association:
a) determines the agenda of the meeting of the executive board, presides and directs the meetings of the executive board of the association, signs the decisions of the executive board:
b) submits to the National Assembly a report on the activities performed:
c) represents the association in relations with state authorities, local and international organizations;
d) signs cooperation agreements and memoranda with partner organizations on behalf of the association;
e) exercises other powers provided for by the regulations of the Executive Council and the internal documents regulating the activities of the association bodies.
5.4. Vice President of the Association
5.4.1. The executive board of the association may choose from its members no more than four vice-presidents of the association.
5.4.2. Vice-presidents of the association:
a) On the instructions of the president of the association or the executive board, they perform the rights and duties of the president of the association in the absence of the president of the association, or in case of his inability to exercise the powers of the president.
b) exercise other powers on the instructions of the president and/or the executive board of the association, as well as in accordance with the internal documents regulating the activities of the association’s bodies.
5.5. Audit commission of the association:
5.5.1. In order to control the legality and expediency of the association’s financial and economic activities, the association creates an audit commission, which consists of three members of the audit commission elected by the National Assembly. At the same time, a member of the audit commission cannot be a member of the association’s executive board or hold any other position in the association’s office.
5.5.2 The activity of the audit commission is led by the chairman of the commission, who is elected by the audit commission. The meeting of the audit commission is authorized if at least two members of the commission are present. Decisions are made by the majority of the members present. voices
In case of equal division, the chairman of the commission has a decisive vote.
5.5.3. Audit commission:
a) periodically informs the financial documents of the association, prepares relevant conclusions and recommendations for the executive board;
b) submits a report to the National Assembly regarding the association’s financial activities;
c) attends the meetings of the Executive Council.
5.6. Association Executive Director and Office
5.6.1 The activities of the association are organized by the executive director.
5.6.2. The executive director of the association is appointed and dismissed by the executive board based on the competition.
5.6.3. Executive Director:
a) appoints the employees of the central and regional offices of the association apparatus, invites and signs labor contracts with them;
b) appoints project coordinators, supervises their activities;
c) organizationally ensures the activities of the National Assembly and the Executive Council of the Association;
d) organizationally ensures the implementation of the decisions of the National Assembly, the President of the Association and the Executive Council;
e) signs agreements and other financial documents of the association;
f) performs other organizational functions;
g) is accountable to the president and the executive board of the association.
5.6.4 Device:
a) implements the material and technical provision of the association’s bodies.
b) ensures proper activities of the association, effective and close relations with association members and international organizations.

VI. Advisory bodies of the association
6.1. In order to promote the effectiveness of the association’s activities and to competently prepare individual issues by the association’s governing bodies, advisory bodies may be established with the association’s executive board.
6.2. With the decision of the Executive Council, special councils may be created with the participation of representatives of the state government, non-governmental organizations, experts and specialists to discuss certain problematic issues.
6.3. The procedure for convening the meetings of the advisory bodies and their activity is determined by the regulation of the advisory bodies of the association, which is approved by the executive board.
VII. Property and financial resources of the association
7.1. The property of the association consists of the immovable and movable property of the central and regional offices of the association, institutions and enterprises founded by the association, the main working capital, financial funds and other valuables, which are reflected in the balance sheet of the association and are provided for the material provision of its activities in accordance with the given charter.
7.2 Association funds are created:
a) with association membership fees;
b) with additional and targeted contributions of association members;
c) donor of the association with contributions from international organizations;
d) with irreplaceable charitable funds of Georgian and foreign legal and natural persons;
e) with the income received from production and economic activities in accordance with the law;
f) with other sources that are not prohibited by the current legislation of Georgia.
7.3. The incomes received from the enterprise and economic activities of the legal entities established by the association will not be distributed among the members and will be used only for the fulfillment of the statutory tasks.
7.4. Association members pay membership fees annually in the amount and manner determined by the National Assembly, and additional and targeted contributions in the amount and manner determined by the cooperation agreement.
7.5. The association can own buildings, structures, equipment, inventory, vehicles, funds, securities, other property, which is necessary to ensure the goals stipulated by the charter.
VIII. Production – economic activity of the association
8.1. According to the law, the association has the right to create or participate in the establishment of enterprises with the right of a legal entity and to use the income received from them for its own activities.
8.2. The association has the right to establish mass media, to provide publishing, printing and advertising activities in accordance with the current legislation.
8.3. The association is engaged in accounting, statistical and operational accounting and reports, is responsible for their accuracy.
8.4. After approval by the National Assembly, the annual financial report of the association’s activities is sent to the members of the association, the donors of the association and the state tax authorities in accordance with the law.
8.5. The financial year of the association coincides with the calendar year.
8.6. The association is responsible for its obligations with all its assets.
IX. Termination of association activities
9.1. The association is liquidated by the decision of the National Assembly, if at least ¾ of the delegates vote for it.
9.2. After the liquidation, the remaining property is distributed in accordance with the applicable legislation.
X. Final Provisions
10.1 Relations that are not regulated by this statute are regulated by the current legislation, as well as by the internal documents of the association adopted in accordance with this statute, which are mandatory for the members of the association.
10.2. This charter comes into force from the moment of registration of the association in accordance with the applicable legislation.
10.3. Amendments and additions to the association’s charter are included in accordance with the association’s charter and the rules established by the legislation of Georgia.
